LUK SOLAR INTEGRATION END-USER LICENCE AGREEMENT

This End-User Licence Agreement (“Agreement”) governs access to and use of the LUK Solar Integration application (“Application”), operated by LUK Solar Ltd, Uganda (“LUK Solar”, “we”, “us” or “our”).

By authorising, accessing or using the Application, you agree to this Agreement.

1. Purpose of the Application

The Application is a private business-integration and automation service used by LUK Solar and authorised personnel to connect approved business systems, including QuickBooks Online, PaygOps, Respond.io, WhatsApp Business and Google Cloud services.

The Application may be used to support authorised business processes such as:

• customer and lead management;
• creating and retrieving QuickBooks Online customers;
• creating non-posting estimates;
• creating and retrieving vendors and purchase orders;
• accessing approved product and account mappings;
• reconciling operational and accounting references;
• routing customer-support and workflow requests;
• preparing approval-gated expenses and commissions; and
• generating reports and audit references.

Future integrations, including Uganda Revenue Authority EFRIS electronic invoicing or tax-filing functionality, will be subject to separate implementation, authorisation, security review and testing before activation.

2. Licence

LUK Solar grants authorised users a limited, non-exclusive, non-transferable and revocable licence to use the Application solely for approved LUK Solar business purposes.

This Agreement does not transfer ownership of the Application, its source code, documentation, trademarks, workflows or intellectual property.

3. Authorised Users

The Application is intended only for:

• LUK Solar Ltd;
• authorised LUK Solar employees and officers;
• authorised contractors or service providers acting on behalf of LUK Solar; and
• the administrator of the connected QuickBooks Online company.

Users must not share access credentials, authorisation links, tokens or confidential business data with unauthorised persons.

4. QuickBooks Online and Intuit Data

The Application accesses QuickBooks Online data only after the connected QuickBooks company administrator grants authorisation through Intuit OAuth.

Depending on the authorised workflow, the Application may read or create information relating to:

• customers;
• products and services;
• estimates;
• vendors;
• purchase orders;
• accounts and account mappings; and
• related accounting references.

Intuit data is used only to provide authorised services for the connected LUK Solar QuickBooks company. It is not sold, rented or used for unrelated advertising.

QuickBooks client secrets, OAuth tokens and related credentials are stored using restricted cloud-secret storage and are not intentionally exposed through WhatsApp conversations, browser logs, public documents or application source code.

5. Artificial Intelligence Assistance

The Application may use artificial-intelligence-assisted tools to classify requests, assist customer-support conversations, retrieve approved information and route workflows.

AI assistance does not receive unrestricted access to QuickBooks credentials or OAuth tokens.

Sensitive accounting actions, payment-related actions and other controlled workflows remain subject to validation, authorised access and, where applicable, human approval.

6. Payments

Where payment-related integrations are enabled, external payment processing is provided by an authorised third-party payment service provider.

The Application does not itself operate as a bank, mobile-money network or card-payment processor.

Supplier payments, commission payments and similar transactions may remain disabled or require explicit authorised approval before submission.

7. User Responsibilities

Users agree to:

• provide accurate information;
• use the Application only for lawful and authorised purposes;
• protect login details and confidential information;
• verify customer, supplier and accounting information before approving a transaction;
• comply with LUK Solar policies and applicable laws;
• immediately report suspected unauthorised access or security incidents; and
• avoid attempting to bypass access controls, approval requirements or audit protections.

8. Prohibited Use

Users must not:

• access the Application without authorisation;
• copy, reverse-engineer or attempt to extract the source code;
• introduce malicious software or interfere with the Application;
• use the Application to misrepresent transactions or customer records;
• submit fraudulent, illegal or unauthorised payments;
• expose customer or accounting information to unauthorised persons; or
• use the Application in violation of Intuit, QuickBooks, PaygOps, Respond.io, Google Cloud, WhatsApp or payment-provider terms.

9. Availability and Changes

The Application may be changed, suspended, restricted or discontinued for maintenance, security, compliance, operational or business reasons.

We do not guarantee uninterrupted or error-free availability. Third-party platforms may modify their APIs, service availability, pricing, permissions or functionality.

10. Third-Party Services

The Application depends on services operated by third parties, including Intuit QuickBooks Online, Google Cloud, PaygOps, Respond.io, WhatsApp Business and approved payment providers.

Use of those services may also be governed by their own terms, privacy policies and service conditions.

LUK Solar is not responsible for outages, errors or restrictions caused solely by third-party services outside its reasonable control.

11. Data Protection and Confidentiality

Personal, customer and accounting information must be processed only for authorised business purposes.

LUK Solar applies reasonable technical and organisational safeguards, including restricted access, encrypted communications, managed secret storage, authentication controls and audit logging.

Users must maintain the confidentiality of all non-public information accessed through the Application.

12. Records and Retention

Business and accounting records may be retained where necessary for:

• providing the Application;
• accounting and audit requirements;
• fraud prevention;
• regulatory or tax compliance;
• resolving disputes; and
• enforcing this Agreement.

Deletion requests may be subject to legal, tax, accounting and contractual retention obligations.

13. Intellectual Property

The Application, its documentation, designs, workflows, software and branding remain the property of LUK Solar Ltd or its licensors.

QuickBooks and Intuit names and trademarks belong to Intuit Inc. Other third-party names and trademarks belong to their respective owners.

14. Disclaimer

The Application supports business operations and accounting workflows but does not replace independent legal, tax, accounting, regulatory or professional advice.

Users remain responsible for reviewing and approving the accuracy of records and transactions submitted through the Application.

15. Limitation of Liability

To the extent permitted by applicable law, LUK Solar will not be liable for indirect, incidental, consequential or special damages arising from:

• unauthorised use;
• inaccurate information supplied by a user;
• third-party service interruption;
• failure to follow approval procedures;
• loss of access caused by revoked or expired third-party authorisation; or
• use of the Application contrary to this Agreement.

Nothing in this Agreement excludes liability that cannot legally be excluded.

16. Suspension and Termination

LUK Solar may suspend or terminate access where:

• a user breaches this Agreement;
• access creates a security or compliance risk;
• the connected company revokes authorisation;
• a third-party service terminates the relevant connection; or
• continued access is no longer operationally or legally appropriate.

Users may revoke the QuickBooks Online connection through the authorised disconnect process or by removing the Application from their Intuit account.

17. Updates to this Agreement

We may update this Agreement to reflect changes in the Application, applicable laws, security requirements or third-party services.

The updated effective date will be displayed at the top of this page. Continued use after an update constitutes acceptance of the revised Agreement.

18. Governing Law

This Agreement is governed by the laws of the Republic of Uganda.

Any dispute will be addressed through good-faith discussions and, where unresolved, through the courts or other competent dispute-resolution forum in Uganda.
